
Problem: A growing self-insurance association found itself in a market position well-suited to reorganize its structure and emerge full-scale into the insurance industry as a bona fide insurance company.
Solution: The unique nature of the reorganization required extensive coordination with the Department of Insurance, as well as significant insurance regulatory analysis and application, tax planning, document and contract preparation, along with a number of other significant issues.
Result: We were able to design and implement a plan to convert the association into a mutual insurance holding company, form a wholly-owned stock insurance company subsidiary and help our client’s regulatory scheme and corporate organization evolve to enable and foster its current growth and future business plans.
Problem: A public university was faced with a case principally involving water intrusion and mold.
Solution: The case settled after the first day of arbitration.
Result: The University was awarded sufficient funds to make all repairs with a separate contractor.
Problem: A mental home health provider was unhappy with their senior financial lender. This issue, along with a complicated corporate structure and no clear management succession plan, thwarted their desire for a comprehensive financial lending reorganization that would allow them to expand into other markets.
Solution: BSW created a team that established lending relationships with a new bank, which provided the client with a “war chest” to utilize for their merger and acquisition goals over the next few years. In addition, as well as assisting them in providing both the legal and tax blueprint to reorganize a myriad of disparate corporate entities, BSW created internal documentation to provide them with a successful management succession ensuring the success of the next generation of corporate leadership.
Result: BSW accomplished all goals on deadline and helped the client achieve substantial tax savings, including savings on their interest and lending costs in the future.
